1. Introduction 1.1. These terms and conditions ("Terms") govern the relationship between Ronin Panda ("we," "us," "our") and our clients ("you," "your"). By engaging our services, you agree to comply with these Terms. 1.2. Ronin Panda provides website design, e-commerce solutions, and add-on integration services. Additional terms may apply for specific services or products, as outlined in your agreement or invoice. 2. Services 2.1. We offer the following services: Website Design (Template and Custom Builds) E-commerce Solutions (Standard, Advanced, Unlimited Stores) Add-On Integration Package (Business Centre Pro) 2.2. Services will be provided as described in the agreement or invoice. Any changes to the agreed scope of work must be documented and may result in additional fees. 2.3. All deliverables will be subject to your approval. Any revisions outside the scope of the agreement may incur additional costs. 3. Fees and Payments 3.1. Payment terms: A deposit of 50% is required to commence work. The remaining balance is due upon project completion or as outlined in the payment schedule. 3.2. Payments must be made via the methods specified in your invoice. 3.3. Late payments may result in suspension of services and may incur a late fee of 5% of the outstanding balance per month. 4. Client Responsibilities 4.1. You agree to: Provide all necessary materials (e.g., text, images, branding) promptly. Review and approve deliverables within agreed timeframes. Ensure any content provided complies with applicable laws and does not infringe third-party rights. 4.2. We are not liable for delays caused by your failure to fulfill these responsibilities. 5. Intellectual Property 5.1. Upon full payment, you will own the rights to the final deliverables, except for any third-party materials (e.g., stock images, plugins), which remain subject to their original licensing terms. 5.2. Ronin Panda retains the right to showcase the work in our portfolio unless otherwise agreed in writing. 6. Confidentiality 6.1. Both parties agree to keep confidential any sensitive information disclosed during the project. This obligation survives the termination of this agreement. 7. Limitation of Liability 7.1. To the extent permitted by law, Ronin Panda shall not be liable for indirect, incidental, or consequential damages. 7.2. Our total liability is limited to the fees paid by you for the specific service giving rise to the claim. 8. Termination 8.1. Either party may terminate the agreement with 14 days' written notice. 8.2. If terminated, you will be invoiced for work completed up to the termination date. 9. Governing Law 9.1.
